Acceptance of Terms
These Terms and Conditions ("Terms") govern your use of the Tridentmain.com website and the facility maintenance services provided by Trident Maintenance Services LLC ("TMS," "we," "us," or "our").
By accessing our website, requesting a quote, or entering into a service agreement with TMS, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.
These Terms apply to all visitors, clients, and any other persons who access or use our website or services. For commercial service agreements, additional contract-specific terms may apply and will be provided separately.
Services Description
TMS provides integrated facility maintenance and management services, including but not limited to:
- Mechanical, Electrical, and Plumbing (MEP) engineering and maintenance
- HVAC and refrigeration installation, maintenance, and repair
- Preventative and corrective maintenance programs
- Construction, renovation, and restoration services
- Energy management and optimization
- Cleaning, porter, and janitorial services
- Environmental and recycling programs
- Emergency facility services
The specific scope, pricing, and terms of any service engagement will be defined in a separate written service agreement or work order signed by both parties.
Service Agreements
All facility services provided by TMS are governed by a written service agreement executed between TMS and the client. These Terms apply as background terms to all such agreements unless specifically superseded in writing.
Quotes and Estimates
Quotes and estimates provided through our website or by our team are non-binding and subject to change pending on-site assessment, final scope definition, and availability of materials. A quote does not constitute a binding contract until both parties have executed a formal service agreement.
Scheduling
TMS will make reasonable efforts to schedule services within the agreed timeframes. We are not liable for delays caused by factors outside our reasonable control, including weather events, supply chain disruptions, or third-party access issues.
Payment Terms
Payment terms are set forth in each individual service agreement. Unless otherwise agreed in writing:
- Invoices are due within 30 days of the invoice date
- Late payments are subject to a 1.5% monthly service charge (18% per annum)
- TMS reserves the right to suspend services for accounts more than 45 days past due
- Clients are responsible for all reasonable collection costs, including attorney's fees, incurred in recovering overdue amounts
TMS accepts payment via ACH bank transfer, wire transfer, and major credit cards. Payment processing fees may apply for credit card transactions as disclosed in the service agreement.
Client Obligations
Clients engaging TMS for facility services agree to:
- Provide timely and safe access to the facility and relevant systems for our technicians
- Ensure the work environment is free from known hazards not disclosed in advance
- Provide accurate and complete information about the facility, equipment, and any known issues
- Obtain any required permits, approvals, or third-party consents unless specifically delegated to TMS in writing
- Designate an authorized representative for communication and approval of work
- Provide timely approvals for change orders or scope modifications
Failure to meet these obligations may result in service delays or additional charges, for which TMS shall not be held responsible.
Limitation of Liability
To the maximum extent permitted by applicable law, TMS's total liability to any client for any claim arising out of or relating to services provided shall not exceed the total fees paid by the client to TMS in the three months preceding the claim.
TMS shall not be liable for:
- Indirect, incidental, special, or consequential damages
- Loss of profits, revenue, or business opportunity
- Damages arising from pre-existing conditions not disclosed or reasonably discoverable
- Delays caused by factors outside TMS's reasonable control
- Damages resulting from client's failure to follow maintenance recommendations
Nothing in these Terms limits TMS's liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.
Intellectual Property
All content on Tridentmain.com — including text, images, logos, graphics, designs, and software — is the property of Trident Maintenance Services LLC or its licensors and is protected by applicable intellectual property laws.
You may not reproduce, distribute, modify, or create derivative works from any TMS content without prior written permission. The Trident name, logo, and "Tridentmain.com" are trademarks of Trident Maintenance Services LLC.
Website Use
You agree to use Tridentmain.com only for lawful purposes. You may not:
- Use the website to transmit any harmful, fraudulent, or misleading content
- Attempt to gain unauthorized access to our systems or data
- Use automated tools to scrape, crawl, or extract data from our website
- Impersonate TMS or any of our representatives
- Submit false or misleading information through our contact forms
Termination
Either party may terminate a service agreement in accordance with the termination provisions set forth in that agreement. In the absence of specific terms:
- Either party may terminate with 30 days written notice
- TMS may terminate immediately for non-payment or material breach by the client
- Upon termination, all outstanding fees for services rendered become immediately due
Dispute Resolution
In the event of a dispute, the parties agree to first attempt to resolve the matter through good-faith negotiation within 30 days of written notice. If unsuccessful, disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
Either party may seek emergency injunctive relief in a court of competent jurisdiction to prevent irreparable harm.
Governing Law
These Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law principles. To the extent court proceedings are necessary, you consent to the exclusive jurisdiction of the state and federal courts located in Pennsylvania.
Changes to These Terms
TMS reserves the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date at the top of this page. Your continued use of our website or services after any changes constitutes your acceptance of the updated Terms.
SMS and Phone Number Note: SMS consent and phone numbers will not be shared with third parties or affiliates.
